These terms of service ("Terms") form the agreement between Bupilo (Pty) Ltd, a company incorporated in the Republic of Botswana under registration number [COMPANY REG NO], with its registered office at [STREET ADDRESS], Gaborone, Botswana ("Bupilo", "we", "us", "our"), and the healthcare practice or organisation that subscribes to the service ("you", "your", "the Practice").
By subscribing to, accessing or using the Bupilo service you accept these Terms. If you are accepting on behalf of a practice, you confirm that you are authorised to bind that practice.
Bupilo is a hospital and medical practice management system supplied as a subscription service over the internet (software as a service). It includes patient registration and scheduling, clinical records, prescribing and dispensing, laboratory and imaging requests, in-patient and theatre management, billing and point of sale, medical-aid claiming, stock control, human resources and reporting, according to the modules enabled for your practice.
Delivery is electronic and immediate. There is no physical product, nothing is shipped or couriered, and no software is installed on your premises. On activation we provision a dedicated environment for your practice and you access it through a standard web browser at app.bupilo.co.bw. Access is normally available within minutes of activation.
The subscription includes hosting, monitoring, daily encrypted backups, all software updates and new features released during your subscription, and support as described in clause 9.
Bupilo is supplied to registered healthcare providers and healthcare organisations operating lawfully in Botswana. It is a business-to-business service. We do not supply Bupilo to members of the public and Bupilo is not a consumer product. You confirm that your practice holds all registrations, licences and professional authorisations required for it to operate.
You are responsible for the users you create, for the roles and permissions you assign to them, and for everything done under your account. You must:
We may suspend an individual user account immediately where we reasonably believe it is being used to compromise the security of the service or the confidentiality of patient data.
Our fees are in Botswana Pula (BWP) and are stated in the service agreement (order form) signed with your practice. Standard starting rates are published on our pricing page:
In every case the exact fees are stated in writing in your service agreement before you are bound, the amounts invoiced are those agreed fees, and they do not change during a period you have already paid for.
Additional services you specifically request — extra on-site training, custom development or integration with a third-party system — are quoted to you in advance and only charged if you approve the quote in writing.
Fees exclude Value Added Tax. Where VAT applies it is shown separately on the tax invoice at the rate prescribed by Botswana law at the time of supply.
You may pay by card or mobile money through DPO Pay, by PayPal, or by bank transfer to our Botswana bank account. Online payments are initiated by you from inside your authenticated account and always relate to an invoice already issued to your practice. We do not store card numbers and we do not take card details by telephone or email. Where you pay by PayPal in a currency other than Pula, the converted amount shown to you at checkout is what PayPal will charge; the Pula amount on the invoice is what settles your account.
Invoices are due on issue. Payment made through a payment provider extends your subscription period automatically once the provider confirms the transaction to us. Bank transfers are applied once the funds reflect in our account.
If an invoice is not paid by its due date:
Suspension is a restriction of access only. We do not delete your data because of non-payment. Your records are retained and access is restored as soon as payment is received. Data deletion only ever happens under clause 8 after the account is closed.
The subscription runs month to month from go-live and renews automatically each month unless cancelled. There is no minimum term and no lock-in period beyond the current month.
Either party may cancel on thirty (30) days' written notice. Cancellation, refund and data-export arrangements are set out in full in our refund and cancellation policy, which forms part of these Terms.
We may terminate this agreement immediately on written notice if you materially breach these Terms and do not remedy the breach within fourteen days of being asked to, if you become insolvent, or if we are required to do so by law.
Your data belongs to you. All patient records, clinical data, billing data and other content you or your staff enter into Bupilo remain your property at all times. We do not sell it, we do not share it with third parties for their own purposes, and we do not use it to train or develop products for anyone else.
In data-protection terms, your practice is the data controller for the personal and health data of your patients and staff; Bupilo acts as your data processor and processes that data only on your instructions and as needed to provide the service. Our full commitments, including where data is stored and how long we keep it, are set out in our privacy policy.
You may request a complete export of your data at any time, at no charge, in a standard machine-readable format. On cancellation we provide a final export and then retain your data for 90 days so that you can come back or complete a migration. After that period we securely and permanently delete it, together with backups, unless the law requires us to keep it longer.
We aim for the service to be available 99.5% of the time, measured monthly, excluding scheduled maintenance. Scheduled maintenance is announced in advance and is normally carried out outside Botswana business hours.
Support is provided by email and telephone during business hours (08:00–17:00, Monday to Friday, excluding Botswana public holidays). We aim to acknowledge support requests within one business hour and to respond to anything that stops you seeing patients within four business hours. For urgent matters outside these hours, use the emergency contact given to you at go-live.
We cannot guarantee uninterrupted service. Interruptions caused by your internet connection, your hardware, or events outside our reasonable control are not within our responsibility.
You must not, and must not allow anyone else to:
We disclose responsibly-reported security issues and welcome them — see our security statement for how to report one.
The Bupilo software, its design, its documentation and the Bupilo name and marks are and remain our property or that of our licensors. Your subscription grants you a non-exclusive, non-transferable right to use the service for the internal purposes of your practice for as long as your subscription is current. Nothing in these Terms transfers ownership of the software to you.
If you send us suggestions or feedback, we may use them to improve the service without obligation or payment to you. This does not give us any right to your data.
Bupilo is a record-keeping, workflow and administration tool. It supports clinical practice; it does not replace it. Any decision-support feature — interaction checking, allergy alerts, early-warning scores, dosage guidance — is an aid only.
Clinical judgement and responsibility for patient care remain entirely with the registered healthcare professional. You are responsible for verifying the accuracy of information entered into the system and for the clinical decisions taken by your practitioners.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded under Botswana law.
Subject to that, neither party is liable to the other for loss of profits, loss of business, loss of anticipated savings, or any indirect or consequential loss, however arising.
Subject to the above, our total aggregate liability arising out of or in connection with this agreement in any twelve-month period is limited to the total fees paid by you to us in the twelve months immediately before the event giving rise to the claim.
We are not liable for loss or corruption of data to the extent it results from your own acts or omissions, from data you supplied to us in a corrupt or incomplete state, or from your failure to use the service as documented.
We improve Bupilo continuously and new features are included in your subscription at no extra charge. We will not remove a material feature you depend on without giving you at least thirty days' notice and, where practical, an equivalent alternative.
We may update these Terms. If a change materially affects your rights or obligations we will give you at least thirty days' written notice before it takes effect. If you do not accept the change, you may cancel without penalty before it applies. Fee increases are notified at least sixty days in advance and never apply to a period you have already paid for.
These Terms are governed by the laws of the Republic of Botswana. The courts of Botswana have exclusive jurisdiction over any dispute arising from them.
Before starting legal proceedings, both parties agree to first raise the matter in writing and to attempt in good faith to resolve it through discussion within thirty days.
